# Licence terms

These terms govern your use of the OpnEarth desktop application and the hosted services at opnearth.com. They are between you and BEST SOLUTIONS & STRATEGIES, a company incorporated in Quebec, Canada.

By installing or using OpnEarth you accept them. If you are accepting on behalf of an organisation, you confirm you may bind it. Organisations that need their own signed agreement can [ask for one](mailto:hello@opnearth.com?subject=OpnEarth%20licence%20agreement), and its terms replace these.

Effective 24 September 2026.

## What you may do

We grant you a non-exclusive, non-transferable licence to install and use OpnEarth for as long as your plan is current.

The free edition, Lite, needs no licence key and no account. It is licensed for personal, non-commercial use only, and you may keep using it indefinitely. Commercial use, including use for an employer, a client or an organisation, needs a paid plan.

A paid plan is licensed per named person, not per machine. Each seat belongs to one individual, identified by their email address, and may not be shared or passed around. One person may install OpnEarth on more than one machine: a seat covers three machines by default, and a machine that has not been used for 45 days stops counting so that replaced hardware frees its slot without asking us. You can see and remove your machines on [your account page](https://opnearth.com/account).

We count machines, not simultaneous use: there is no limit on having OpnEarth open in two places at once, and nothing watches whether you are using it. To count machines the application sends a random identifier it makes on first run, with the version, operating system and version, processor type and update channel, and the computer’s name and model so you can tell your machines apart. It is not derived from your hardware and reads no serial number, MAC address or user name. [The privacy policy](https://opnearth.com/privacy) sets that out in full.

Going over an allowance never locks anyone out. The extra machine, or the person with no seat, gets the Lite edition: every file that opened before still opens, and the application says what happened and who to ask.

## What you may not do

- Share a seat, a licence key or an account with someone it was not issued to.

- Rent, resell, sublicense or host OpnEarth as a service for others, unless we have agreed that in writing.

- Work around the licensing, tamper with a signed licence, or use a key obtained dishonestly.

- Remove or obscure copyright, trademark or attribution notices.

- Reverse engineer, decompile or disassemble the application, except to the extent that law expressly allows it despite this term. Canadian and European law does allow some of this, and nothing here is meant to take that away.

## Your files stay yours

We claim no ownership of anything you open, create or export with OpnEarth. Your KML, KMZ, CSV, spreadsheet and imagery files are yours, and so is everything you make from them.

OpnEarth reads and edits files on your own computer. It does not upload them. The only exceptions are actions you ask for explicitly, including publishing maps, enabling encrypted file sync and using online services as described in our privacy policy. Optional usage and crash reports contain limited technical metadata, not your files. [The privacy policy](https://opnearth.com/privacy) sets out exactly what leaves your computer and what is stored.

## Lite, trials and technical reports

Lite is the free local viewer. A downloaded or updated app does not by itself activate a Pro trial or grant paid cloud features. Sign in with your invited email in the app to connect your installation and activate an available trial. The account portal shows your plan and connected installations.

All editions make the plan checks described in our privacy policy. Optional usage reports help us understand file-format usage and opening performance; optional crash reports help us fix reliability problems. Each has a separate choice in Settings, off until enabled. These reports do not contain KMZ contents, filenames, paths, geometry, attributes or search queries. Using Lite is not consent to optional reporting. You can change either choice in Settings.

## Published maps and share links

When you publish a map, you give us permission to store it and serve it to whoever opens the link, for as long as the link is live. That permission exists so the feature can work and for no other purpose: we do not use your maps to train anything, and we do not show them to anyone you have not sent a link to.

You are responsible for what you publish. Do not publish anything you do not have the right to distribute, and do not publish anything unlawful. We may take down a published map that breaks this, and will tell you why.

You can revoke a link at any time, and deleting your account deletes the maps with it.

## Working offline, and what happens if a plan lapses

OpnEarth is built to work without a network. Once your licence is verified, it keeps working offline for 30 days on Pro and Team and 90 days on Enterprise, without contacting us at all.

If a plan ends or lapses, the application degrades rather than locks. It drops to the Lite edition and every file you could open before still opens. You do not lose access to your own work because a subscription ended, and you never need a network to open a file you already have.

## Updates

Updates are offered in the application and you choose when to apply them. We may stop supporting old versions, and a hosted feature may require a recent one. We will not push a change that takes away a feature your current plan includes.

## Other people’s software and data

OpnEarth includes open-source components under their own licences. The full list, with the text of each licence, is in the application under Help, and those terms govern those components rather than these.

Maps, imagery and address search come from third parties on their own terms and with their own attribution requirements, which the application displays. OpnEarth is a viewer: we do not warrant the accuracy, currency or completeness of anyone’s map data, and it must not be relied on as a survey, a legal boundary, or for navigation.

OpnEarth is not affiliated with, endorsed by, or sponsored by Google. Google Earth is a trademark of Google LLC.

## Fees, taxes and refunds

Plans are not currently on public sale. When they are, prices, billing intervals, trial periods and taxes are shown at checkout, and refunds follow [the purchase and refund terms](https://opnearth.com/purchase-policy). Subscriptions renew until cancelled, and you can cancel from your account page.

## Ending the licence

You may stop using OpnEarth at any time, and you may delete your account from your account page. We may end a licence if these terms are seriously or repeatedly broken, and we will tell you why and give you a chance to put it right unless the law prevents it.

When a paid licence ends the application becomes Lite. Your files remain yours and remain readable.

## No warranty

OpnEarth is provided as it is. To the extent the law allows, we make no warranty that it will be uninterrupted, error-free, or fit for a particular purpose. Some jurisdictions do not allow that exclusion, and where yours does not, this paragraph does not apply to you.

## Limits on liability

To the extent the law allows, neither party is liable for indirect, incidental or consequential loss, or for lost profits or lost data. Our total liability for any claim relating to OpnEarth is limited to what you paid us for it in the twelve months before the claim.

Nothing here limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, for fraud, or under consumer protection law.

## Your rights under consumer law

If you are a consumer, you keep every right your local law gives you. In Quebec, the Consumer Protection Act gives rights that cannot be waived by contract, and nothing in these terms takes them away. Where a term here conflicts with a right you have under law, the law wins and the rest of these terms continue to apply.

## Governing law

These terms are governed by the laws of Quebec and the federal laws of Canada that apply there, and the courts of the judicial district of Montreal have jurisdiction. If you are a consumer, this does not deprive you of the protection of the law of the place where you live, or of the right to bring proceedings there.

## Changes

We may update these terms. If a change matters to you we will say so by email or in the application before it takes effect, and the effective date at the top always tells you which version you are reading. Continuing to use OpnEarth after a change means accepting it; if you would rather not, you may stop and ask for a refund of any unused part of a prepaid plan.

24 September 2026: the free edition, Lite, is now licensed for personal, non-commercial use only. The previous version, effective 18 September 2026, also allowed commercial use of Lite.
